Terms of Use

Effective [EFFECTIVE DATE] · Last updated [LAST UPDATED DATE]

Draft preview. Highlighted text in square brackets is a placeholder that must be filled before this page goes live.

These terms are an agreement between you and Systems and Models Technology Development LLC ("Nabbins", "we", "us"), 971 US Highway 202N, Suite N, Branchburg, NJ 08876. They cover the Nabbins app and our website. Our Privacy Policy explains how we handle your information.

The short version #

This summary is part of the terms. If it and a section below ever seem to differ, the reading that's better for you applies.

  • Nabbins is for adults 18 and over who live in the US.
  • It's a budgeting tool. It reads the accounts you connect through Plaid. Nabbins never moves your money.
  • It doesn't give financial, investment, tax or debt advice.
  • Its figures come from your bank's data and what you tell the app. They can be late or wrong, so check your bank before a payment that matters.
  • Memberships are billed and canceled through Apple. A membership renews automatically until you cancel in iOS Settings. Deleting the app or your account doesn't cancel it.
  • If we disagree, you can take us to court, including small claims court. We don't use arbitration.

1 · Who can use Nabbins #

  • You must be 18 or older and live in the United States.
  • Use Nabbins for your own money. You can connect an account you share, such as a joint account, if you have the right to use it.
  • If we learn that someone under 18 has an account, we'll close it and delete their information, and tell them how to cancel their membership and ask Apple for a refund.

2 · Your account #

  • You sign in with Sign in with Apple. Keep your phone and your Apple ID secure.
  • One account per person. Don't share yours or use anyone else's.
  • We don't ask you by email, text or phone for your bank password, your Social Security number, a full account number or a code sent to you. If anyone does, it isn't us. Tell us (see Contact us).
  • Keep what you tell the app accurate. Your pay schedule, bills and entries drive your figures.
  • Your data is kept with your account on our servers, so it's there when you sign in again, including on a new phone.

3 · Your membership #

Nabbins is a paid membership. To use the app after setup, you need an active membership.

  • Plans and price. The plans, their prices and any trial are shown in the app and on Apple's purchase sheet before you subscribe. Prices are in US dollars, plus tax where it applies. Currently: yearly, $79.99 a year with a 7-day trial; or monthly, $17.99 a month.
  • Apple handles payment. You buy and manage your membership through Apple's in-app purchase, under Apple's terms. Memberships are processed for us by RevenueCat, which tells the app whether your membership is active. Neither we nor RevenueCat see your card number.
  • Restoring. If you reinstall the app or move to a new phone, use Restore in the app to bring back a membership bought with the same Apple ID.
  • The trial. Apple decides trial eligibility and shows it before you buy. You aren't charged during the trial. When it ends, Apple charges the plan's price, and then charges it each period, until you cancel.
  • Automatic renewal. Your membership renews automatically at the end of each period, at the price then shown, until you cancel. Apple may charge you within the 24 hours before a period ends.
  • Canceling. Open Settings on your iPhone, tap your name, then Subscriptions › Nabbins › Cancel Subscription. The app's Delete account screen also has a Manage subscription link to the same Apple page. To avoid the next charge, cancel at least 24 hours before your trial or current period ends. You keep access until the end of the period you've paid for.
  • Deleting the app, or your Nabbins account, doesn't cancel your membership.
  • Refunds are requested from Apple, under Apple's rules. Ask at https://reportaproblem.apple.com. Canceling stops future charges; it doesn't refund time already paid for, except as Apple or the law provides.
  • Price changes. We'll tell you before a price change applies to you, and Apple will too. Apple may ask you to agree to a higher price; if you don't, your membership ends when the paid period ends.
  • If your membership ends, your account and data stay until you delete your account, so you can come back to your history. We don't delete accounts for being inactive. You can delete yours in the app, without a membership, or by email (see our Privacy Policy, section 7). When your membership ends, we remove your bank connections at Plaid, the same as disconnecting each bank: new transactions stop, and the history already in your budget stays. If you come back, connect your banks again.

4 · Connecting your accounts, through Plaid #

  • Nabbins reads the bank accounts you connect through Plaid, a company that links apps to banks. You sign in to your bank in Plaid's screen or on your bank's own page. Nabbins never sees your bank password.
  • Plaid's terms. Before you connect, Plaid shows you its End User Privacy Policy (https://plaid.com/legal/#end-user-privacy-policy) and asks you to agree. By connecting, you accept it. It's a separate agreement between you and Plaid, and it covers how Plaid handles your information.
  • Your permission. Connecting an account lets us and Plaid get information from it for you: balances, transactions and the other details our Privacy Policy lists. This is permission to read only. It doesn't let us, or anyone, move money or make payments. It lasts until you disconnect the account, delete your Nabbins account, or the connection stops.
  • Taking it back. In the app, disconnecting a bank removes Nabbins' connection to it at Plaid: no further transactions from that bank arrive, and we delete our stored connection key for it. Transactions already in your budget stay part of its history. You can also disconnect Nabbins in Plaid Portal (https://my.plaid.com), which stops Plaid sharing new data from your accounts with us.
  • Connections can stop. A bank or Plaid may limit how long your permission lasts, ask you to renew it, or end a connection. We can't promise that every bank works with Nabbins, or that a connection will keep working.

5 · What Nabbins is, and what it isn't #

It's a budgeting tool. Nabbins works out figures from your connected accounts and from what you tell it, such as what you have left to spend before your next payday, and a daily aim.

Nabbins never moves your money. It isn't a bank or a lender. It doesn't hold, send or lend money, and it can't make payments or transfers. When Nabbins sets money aside, that's bookkeeping in the app: your money stays in your bank, and you can still spend it. When the app shows a move for you to make, you make it yourself at your bank. When it tracks overspending you're making up later, that's bookkeeping too, not a loan, and it doesn't change what you owe your bank or card issuer.

It doesn't give advice. Nabbins doesn't give financial, investment, tax, legal, credit or debt advice, and we aren't your financial advisor. Some screens make a suggestion, such as how to split your pay. A suggestion is worked out by rules from your own accounts, bills and settings. It isn't a judgment about what's right for you, and you can change it or turn it down. For advice, talk to a qualified professional.

Tax, if you're self-employed. You choose what share of each deposit to set aside for tax; Nabbins won't suggest a number. Like any set-aside, it's bookkeeping, and you can still spend that money. Nabbins doesn't work out what you owe or file anything, and its figures aren't records for a tax return.

Its figures depend on the data behind them.

  • Banks and Plaid can send information late, leave things out or get things wrong. A pending charge can change or disappear when it posts.
  • A bill Nabbins doesn't know about makes your figures too high.
  • Projections assume things carry on as they have. They're estimates, not promises.
  • A figure's name isn't a promise. What you have left to spend is a calculation, not a statement that money is available. The daily aim is a target, not a limit.
  • Your bank's records are the official ones. Check them before a payment that matters.
  • Notifications can arrive late, or not at all.

6 · Using Nabbins #

Don't:

  • break the law, or use Nabbins to harm anyone;
  • connect accounts you have no right to use;
  • try to get into systems or information you have no right to reach, including other people's accounts;
  • overload, disrupt or attack the app or website, or use bots or scrapers on them;
  • copy, change or reverse-engineer the app, except where the law lets you;
  • resell Nabbins or offer it as part of another service without our written permission.

Security research. If you find a security problem, email us (see Contact us). Don't test the systems of any bank or of Plaid.

7 · Our rights, and your license #

  • The Nabbins name and logo, the app, the website and their content belong to us or to those who license them to us.
  • We give you a personal, limited, non-transferable license to download and use the app on Apple devices you own or control, for your own use, while you follow these terms. It ends when your account closes.
  • Parts of the app use open-source software under its own licenses. We list it, with its licenses, at nabbins.com/open-source.
  • If you send us feedback, we may use it to improve Nabbins without paying you. Nothing in these terms stops you from reviewing Nabbins, good or bad.

8 · Ending your account #

  • You can leave at any time. Cancel your membership through Apple, and delete your account in the app (nabbins.com/delete-account explains how, including what other companies and your device or iCloud backups may keep).
  • We may suspend or close your account if you seriously or repeatedly break these terms, to stop fraud or protect the security of Nabbins or its users, if the law requires it, if you're under 18, or if we stop offering Nabbins. We'll tell you why, and give notice first when we can. Memberships are billed and canceled through Apple, so we'll tell you how to cancel, and help you ask Apple for a refund where it's fair; refunds are decided by Apple under its rules.
  • If Nabbins is discontinued, we'll tell members by email and in the app at least 30 days ahead, and explain how to cancel. We'll take the steps Apple's systems allow to stop new purchases and renewals. Refunds are requested from Apple under its rules. We'll also remove our bank connections and delete your data as our Privacy Policy describes.
  • Sections 5 and 9 to 14 still apply after your account closes.

9 · Other companies' services #

Nabbins relies on other companies. Apple distributes the app and takes payment, and RevenueCat processes memberships for us. Plaid connects your accounts, and your bank sends the data. Their own terms apply to their services. We're responsible for the companies we hire to run parts of Nabbins. To the extent the law allows, we aren't responsible for failures of another company's own service that you use under your own agreement with it, such as your bank's, Plaid's or Apple's. This doesn't limit what we owe you under section 10, or Apple's role described in section 15.

10 · What we promise, and what we don't #

What we promise. We'll run Nabbins with reasonable care and skill, work to keep its figures correct, and fix the problems we find.

What we don't promise. Apart from that, and any promise the law gives you that can't be excluded:

  • Nabbins is provided "as is" and "as available".
  • To the extent the law allows, we exclude all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
  • We can't promise that the app or website will always be available or work without errors, that it will work with every bank, or that its figures will be complete, correct or up to date.

11 · Limits on our liability #

What these limits don't cover. Nothing in these terms limits our liability for fraud; harm we cause on purpose or through gross negligence; our breaking the law, including consumer-protection and privacy laws; death or personal injury caused by our negligence; or anything else the law doesn't let us limit.

The limits. Apart from those, and to the extent the law allows:

  • We aren't liable for indirect or consequential losses, such as lost profits, or for punitive damages.
  • Our total liability to you for all claims about Nabbins is limited to the greater of $100 or what you paid for Nabbins in the 12 months before the claim arose.

Your rights under the law. Nothing in these terms removes a right you have under a law that can't be changed by contract, including your state's consumer-protection laws. Some states don't allow some of these limits; where yours doesn't, they apply only as far as it allows.

No indemnity. We don't ask you to cover our legal costs, or claims other people make against us, because of how you use Nabbins.

12 · Disagreements #

  • Talk to us first, if you like. Email us (see Contact us) with what went wrong and what you'd like us to do. You don't have to do this before going to court.
  • Which law. The laws of New Jersey apply to these terms. If you live in another state, you keep the protection of its consumer-protection laws.
  • Where. You can bring a claim in small claims court where you live, if it qualifies, or in the state or federal courts in Somerset County, New Jersey. If your own state's law lets you sue in its courts, these terms don't remove that right. We'll bring a claim against you only in the courts where you live.
  • No arbitration, and no class-action waiver. You keep your right to go to court, to a jury trial, and to bring or join a class action.
  • Plaid and Apple have their own rules for disagreements with them.

13 · Changes to these terms #

When we change these terms, we update the date at the top. We'll tell you about a significant change at least 30 days before it takes effect, by email or in the app. Carrying on using Nabbins doesn't by itself mean you agree. If you don't agree to a significant change, the terms you agreed to keep applying to you while your current membership period runs, and you can cancel. A change doesn't apply to a disagreement that started before it.

14 · General terms #

  • The whole agreement. These terms, with our Privacy Policy, are the whole agreement between you and us about Nabbins. Section 15 adds terms that apply because you got the app from Apple.
  • If part of these terms can't be enforced, the rest still applies. If we don't enforce a term at once, we can still enforce it later.
  • You can't transfer these terms or your account. If our business is sold or merges, we may transfer these terms to the new owner, who must keep to them.
  • Notices. We send notices to the email address on your account and in the app. By agreeing to these terms, you agree to get notices electronically. You can send notices to us at the addresses in section 16.
  • We aren't responsible for delays or failures caused by events we can't reasonably control, such as a widespread outage at a bank or a company we rely on, as long as we act reasonably to limit the effect.

15 · Apple-required terms #

These terms apply because you got the app from Apple's App Store.

  • Apple isn't a party. These terms are between you and us, not Apple. We, not Apple, are responsible for the app and its content. The rules these terms set for using the app can't conflict with the Apple Media Services Terms and Conditions; where they do, Apple's terms apply.
  • Scope of license. Your license (section 7) covers Apple devices you own or control, as the Usage Rules in the Apple Media Services Terms and Conditions allow, including other accounts in your Family Sharing group where those rules allow it.
  • Maintenance and support. We, not Apple, provide maintenance and support for the app. Apple has no duty to provide either.
  • Warranty. If the app fails to meet a warranty that applies to it, you can tell Apple, and Apple will refund the price you paid for the app, if any. To the extent the law allows, Apple has no other warranty duty for the app. Any other claim, loss or cost from a failure to meet a warranty is ours to deal with, not Apple's.
  • Product claims. We, not Apple, are responsible for any claims by you or anyone else about the app or your use of it, including product liability claims, claims that the app doesn't meet a legal or regulatory requirement, and claims under consumer-protection, privacy or similar laws.
  • Intellectual property. If someone claims that the app, or your having or using it, infringes their intellectual property rights, we, not Apple, will look into, defend, settle and resolve that claim.
  • Legal compliance. You confirm that you aren't in a country under a US government embargo, or one the US government has named as supporting terrorism, and that you aren't on any US government list of prohibited or restricted parties.
  • Contact. Send questions, complaints or claims about the app to us, using the details in section 16.
  • Third-party terms. When you use the app, you must follow any third-party agreement that applies, such as your mobile carrier's terms and Plaid's.
  • Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these terms. Once you accept them, Apple has the right to enforce them against you as a third-party beneficiary, and is treated as having accepted that right.
